Visa has announced a definitive agreement to acquire BioCatch, a prominent cybersecurity and fraud-prevention firm, in an all-cash deal valued at $2.4 billion. This strategic move aims to bolster Visa’s existing suite of security tools as the financial industry faces an escalating wave of digital crimes. By integrating BioCatch’s specialized technology, Visa intends to provide its banking clients with more robust defenses against sophisticated threats like account takeovers and AI-driven scams.

BioCatch, founded in 2011 and based in Israel, has built a reputation for its behavioral biometrics platform. Unlike traditional security measures that rely solely on passwords or device identification, BioCatch uses artificial intelligence to analyze how a user interacts with their device. By monitoring thousands of signals—such as typing speed, mouse movements, touchscreen gestures, and even how a device is held—the system can distinguish between a legitimate account holder and a fraudster in real time.

This acquisition comes at a critical time for the global financial ecosystem. As criminals increasingly leverage artificial intelligence to automate attacks and bypass standard security protocols, financial institutions are struggling to keep pace. Visa reports that scams and account takeovers currently cost the global economy more than $1 trillion annually. By incorporating BioCatch’s proactive intelligence, Visa hopes to stop fraudulent transactions before they are completed.

BioCatch currently serves over 350 financial institutions across 21 countries, including many of the world’s largest banks. The company protects approximately 760 million users and 1.8 billion devices. Following the acquisition, BioCatch will be integrated into Visa’s value-added services division, and its leadership team is expected to remain in place to ensure continuity for existing clients.

The deal is being finalized with funds advised by the London-based private equity firm Permira, which has held a majority stake in BioCatch since 2024. While the agreement has been signed, the transaction remains subject to standard regulatory approvals and customary closing conditions. Visa anticipates that the acquisition will be completed by the end of its fiscal second quarter in 2027.
